Welcome to The BackOffice Pro™. These Terms of Service ("Terms") govern your use of our website at thebackofficepro.com and your engagement with our fractional operations and AI implementation services. By accessing our website or engaging our services, you agree to be bound by these Terms.

Please read these Terms carefully before proceeding.

1. Services Provided

The BackOffice Pro™, operated by Nalani York ("TBP," "we," "us," or "our"), provides fractional operations leadership, AI-powered systems implementation, and business operations consulting services to small and mid-size service-based businesses.

Our services are offered through three engagement tiers — Stabilize, Systemize, and Optimize™ — as described on our Services page. The specific scope, deliverables, timeline, and pricing of each engagement are defined in a separate Client Services Agreement signed by both parties prior to the commencement of any paid work.

These Terms of Service govern your use of this website. Your client engagement is governed by your signed Client Services Agreement, which takes precedence over these Terms in the event of any conflict.

2. Website Use

You agree to use this website only for lawful purposes and in a manner that does not infringe upon the rights of others. You may not:

• Use our website to transmit spam, malware, or any harmful content
• Attempt to gain unauthorized access to any portion of our site or systems
• Scrape, copy, or reproduce our website content without written permission
• Misrepresent your identity or affiliation when contacting us
• Use our content, frameworks, or methodologies for commercial purposes without written consent

3. Intellectual Property

All content on this website — including but not limited to text, graphics, logos, the TBP brand identity, the Stabilize · Systemize · Optimize™ Stage Framework™, The People · Process · Tools · Strategy Method™, and all AI systems, workflows, SOPs, and operational frameworks developed by The BackOffice Pro™ — are the intellectual property of Nalani York and The BackOffice Pro™.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any of our intellectual property without our express written permission.

All AI agents, automations, workflows, and systems built by The BackOffice Pro™ during a client engagement remain the intellectual property of The BackOffice Pro™ until the engagement is paid in full. Upon full payment, the client receives a license to use the systems as built. The underlying methodology, architecture, and framework remain the exclusive property of The BackOffice Pro™ and may be used with other clients.

4. No Guarantee of Results

The BackOffice Pro™ provides operational leadership, systems implementation, and strategic advisory services. While we bring 20 years of experience and a proven framework to every engagement, we cannot and do not guarantee specific business outcomes, revenue increases, or operational results.

Results depend on a variety of factors including but not limited to the client's business stage, team capacity, budget, market conditions, and the client's own implementation and follow-through. Testimonials and case studies on this website reflect individual client experiences and are not guarantees of future results.

5. Confidentiality

We take confidentiality seriously. Information shared with The BackOffice Pro™ during discovery calls, consultations, and active client engagements is treated as strictly confidential and will not be shared with any third party without your explicit written consent, except as required by law.

As a client, you agree to treat any proprietary frameworks, tools, processes, or methodologies shared by The BackOffice Pro™ as confidential and not to disclose or reproduce them without written permission.

6. Payment Terms

All services are offered on a monthly retainer basis. Payment terms, amounts, and schedules are defined in your Client Services Agreement. General terms include:

• Monthly retainer fees are due on the first business day of each engagement month
• A 3-month minimum commitment is required for Systemize and Optimize engagements
• Failure to remit payment within 10 business days of the due date may result in suspension of services
• All fees are non-refundable once the engagement month has commenced
• Additional AI automation builds are invoiced separately at $500 per automation upon completion

AI Ops Audit: The AI Ops Audit fee of $497 is non-refundable once the 60-minute session has been completed and the written ops improvement plan has been delivered. If a session is cancelled or rescheduled with less than 24 hours notice, the session fee is forfeited. The $497 credit toward a BackOffice Pro™ retainer engagement is valid for 90 days from the date of the audit session.

7. Cancellation and Termination

Month-to-month engagements (Stabilize): Either party may cancel with 30 days written notice.

Minimum commitment engagements (Systemize and Optimize): Client agrees to complete the 3-month minimum commitment. Early termination prior to the completion of the minimum commitment period does not relieve the client of payment obligations for the remaining months in the commitment period.

The BackOffice Pro™ reserves the right to terminate any engagement immediately and without refund if a client engages in abusive, fraudulent, or unethical conduct.

Upon termination of any engagement, The BackOffice Pro™ will provide the client with documentation of all systems, workflows, and processes built during the engagement. Access to TBP-managed platforms and tools will be transitioned within 14 business days of the final engagement date.

8. Limitation of Liability

To the maximum extent permitted by applicable law, The BackOffice Pro™ and Nalani York shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our website or services — including but not limited to loss of revenue, loss of data, or business interruption — even if we have been advised of the possibility of such damages.

Our total liability for any claim arising out of or related to our services shall not exceed the total fees paid by the client in the three months immediately preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless The BackOffice Pro™, Nalani York, and any affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of our website, your violation of these Terms, or your violation of any third-party rights.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Fulton County, Georgia.

11. Dispute Resolution

In the event of a dispute, both parties agree to first attempt to resolve the matter through good-faith negotiation. If negotiation is unsuccessful, both parties agree to attempt mediation before pursuing litigation. This requirement does not limit either party's right to seek emergency injunctive or equitable relief from a court of competent jurisdiction.

12. Changes to These Terms

We reserve the right to update these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page. Your continued use of our website following any posted changes constitutes your acceptance of the updated Terms.
